It is undeniable that each of us must do their part to create a more sustainable world. Therefore, Verve Group SE is conducting a comprehensive analysis on a regular basis pertaining to the sustainability efforts of the Group. Since our initial analysis during which we developed clear guidelines for the actions to be undertaken as well as the five sustainability priorities for the group. We have constantly developed these priorities further in light of their importance for our business and sector. Through a thorough double materiality assessment aligned with the latest CSRD framework, we reconfirmed that our five prioritised sustainability areas remain relevant and aligned with our strategic focus.

Our Commitment to the UN Global Compact

Verve is a proud participant of the United Nations Global Compact. To contribute to the fulfillment of the UN Sustainable Development Goals, Verve has signed the UN Global Compact. In doing so, we are committed to the ten principles of the United Nations Global Compact in the areas of human rights, labour standards, environment and anti- corruption. We are committed to submitting an annual Communication on Progress (CoP) to the UN Global Compact, outlining our efforts, measurable outcomes, and continuous improvements.

As part of Verve Group’s overall Risk, Compliance, and Internal Control Framework (RCIC Framework), Verve has adopted an environmental, social and governance operating model which has been created to support the achievement of sustainability objectives that favorably impact the environment, social well-being, and transparency in corporate governance. It is used to identify risk and opportunities to allow for targeted allocation of resources to projects that contribute to sustainable business practices in areas such as stewardship of society, duty towards employees, fairness for customers, responsibility for the community and care for the environment. Verve Group firmly believes that sustainability should be considered in our business activities to protect Verve’s assets, ensure long-term growth and enhance shareholder value.

Our Sustainability Structure

Sustainability at Verve Group is overseen by the Board of Directors (Sustainability Board). Sustainability is discussed during board and Audit Committee meetings, and the Board of Directors is responsible for reviewing and approving the Sustainability Report. The Board of Directors is informed by the C-Level about the status and latest developments in the area of sustainability.

The Board is responsible to approve the policies and initiatives related to material sustainability topics. Hence, the policies and initiatives related to sustainability are submitted to the Board well in advance by the Head of ESG. Additional touchpoints around sustainability matters occur at different levels: twice per year with Board / Audit Committee, and in monthly meetings between the C-Level (CEO and/or CFO) and the ESG Team, and periodic alignment with internal key stakeholders (HR, Investor relations, Office management, Internal controls, Legal, Finance, etc.)
